Limited Liability Company
A Swiss Limited Liability Company is known (in German) as a GmbH or “Gesellschaft mit beschränkter Haftung”. A Swiss GmbH requires a minimum capitalization of CHF 20,000 (Swiss Franc) and no less than one shareholder and one director, with at least one director being a Swiss resident. Generally, a Swiss GmbH is intended for ‘smaller’ companies where company shares are not as ‘easily’ transferrable in comparison to a Swiss Corporation. A Swiss GmbH is a structure designed for businesses requiring a more localized concentration of ownership and/or management. A Swiss Limited Liability Company (GmbH) may act in the capacity of either a holding company, mixed company, trading company or local company.
